No, if the modem is NAT enabled it will issue the server pc and the other one seperate ips just as if it was a multi port router.

I did the bridge and I was wrong (both PC's have internet access) and WinMX is working now! :-D So what does this indicate that the problem is? ICS I guess?

Most likely. Or just the way we went about setting it up. ICS was designed for dial up if i remember correctly xD.
